Agency Partner Terms and Conditions — Profit Bid
These Agency Partner Terms and Conditions (“Agency Terms”) govern participation in the Profit Bid agency partner program (“Agency Program”) operated by S.C. AXP GLOBAL RETAIL S.R.L., VAT: RO48715417, J02/1304/2023, Romania (office@profit-bid.com) (“Profit Bid”, “we”, “us”).
By submitting an agency application or using agency dashboard features, you (“Agency Partner”, “you”) agree to these Agency Terms in addition to our general Terms and Conditions and Privacy Policy where applicable to your use of the platform.
These Agency Terms are subject to Romanian and European Union law. If there is a conflict between these Agency Terms and the general Terms regarding the Agency Program, these Agency Terms prevail for agency-specific matters.
1. Eligibility and Enrollment
- The Agency Program is intended for businesses and professional service providers (e.g. marketing agencies, ecommerce consultants) that refer clients to Profit Bid.
- You must provide accurate company, billing, and contact information during registration.
- Profit Bid may approve, reject, suspend, or terminate agency accounts at its sole discretion, including for incomplete information, suspected fraud, or breach of these Agency Terms.
- One agency account per legal entity. You are responsible for safeguarding login credentials and all activity under your account.
2. How the Program Works
After enrollment, approved agencies may:
- Access a dedicated agency dashboard.
- Create and manage client licenses and secure payment links.
- Link active Profit Bid subscriptions to their agency account for commission tracking.
- View commission history, payout status, and monthly statements.
- Connect a Stripe account via Stripe Connect to receive payouts.
Commissions are earned only on qualifying, paid subscription invoices for licenses correctly attributed to your agency account at the time of payment. Profit Bid does not guarantee any minimum number of referrals, conversions, or earnings.
3. Commission Structure
- Commission is calculated as a percentage of the gross subscription amount actually paid by the end customer on each qualifying Stripe invoice (before any refund or chargeback adjustment).
- Your applicable commission rate is shown in your agency dashboard and/or communicated at enrollment. A default program rate may apply when no custom rate is assigned.
- Commission accrues on recurring subscription payments for as long as the linked subscription remains active and qualifying, subject to these Agency Terms.
- Refunds, chargebacks, failed payments, cancelled subscriptions, or invoices not linked to your agency account do not generate commission.
4. Changes to Commission Rates
Profit Bid reserves the right to modify the commission percentage applicable to your agency account, or to the Agency Program default rate, at any time.
- Changes may apply to future subscription invoices from the effective date communicated by Profit Bid (via dashboard notice, email, or updated Agency Terms).
- We are not obligated to maintain any particular commission level, promotional rate, or earning structure.
- Continued participation in the Agency Program after a commission change takes effect constitutes your acceptance of the updated rate for new qualifying invoices.
- If you do not agree with a commission change, your remedy is to stop participating in the program and close your agency account.
5. Payouts and Stripe Connect
- Commission payouts are processed through Stripe Connect. You must complete Stripe Connect onboarding and keep your payout account in good standing to receive transfers.
- Until Stripe Connect is fully enabled, earned commissions may be recorded as pending and will not be transferred automatically.
- When eligible, Profit Bid initiates Stripe Transfers to your connected account based on recorded qualifying invoices. Transfer timing may depend on Stripe processing, currency settlement, and charge availability.
- Profit Bid may retry failed transfers when payment events allow. You are responsible for resolving Stripe onboarding, verification, or account restriction issues.
- Monthly commission statements may be generated for reporting and reconciliation purposes.
6. Taxes and Invoicing
- You are solely responsible for reporting and paying all taxes, social contributions, and other obligations arising from commissions received through the Agency Program.
- Commission amounts communicated in the dashboard or statements are gross amounts unless otherwise stated. Profit Bid does not provide tax advice.
- You must keep billing details (company name, address, VAT status, tax identifiers) accurate for compliance and communication purposes.
7. Agency Conduct and Client Referrals
- You must market Profit Bid honestly and not make guarantees about performance, ROI, or Google Ads results that Profit Bid has not expressly authorized in writing.
- You must not misrepresent your relationship with Profit Bid (e.g. as an employee or exclusive partner unless formally agreed).
- End customers you refer remain subject to Profit Bid's general Terms and Privacy Policy. You are responsible for obtaining any consents required under applicable law when sharing client data or creating licenses on their behalf.
- You must not engage in spam, cookie stuffing, self-referrals, fraudulent sign-ups, or any activity intended to artificially inflate commissions.
8. Intellectual Property and Brand Use
Profit Bid grants you a limited, revocable, non-exclusive license to use approved Profit Bid name and branding solely to promote the Service to prospective clients in compliance with any brand guidelines we provide. All Profit Bid trademarks and platform IP remain our property.
9. Suspension and Termination
- Profit Bid may suspend or terminate your agency account immediately for breach of these Agency Terms, suspected abuse, legal requirements, or program discontinuation.
- You may stop participating at any time by ceasing to use agency features; termination does not entitle you to commissions on non-qualifying or future invoices.
- Upon termination, pending payouts may be withheld or cancelled if related to fraudulent, reversed, or disputed transactions.
- Sections that by nature should survive (commission disputes already accrued, liability limits, governing law) remain in effect after termination.
10. Relationship of the Parties
You participate as an independent business partner. Nothing in these Agency Terms creates an employment, agency (in the legal sense), joint venture, or partnership relationship. You have no authority to bind Profit Bid contractually.
11. Disclaimers and Limitation of Liability
The Agency Program and dashboard are provided on an “as is” basis. To the maximum extent permitted by law, Profit Bid is not liable for indirect, incidental, or consequential damages, lost profits, or lost commissions arising from platform downtime, Stripe outages, attribution errors, or program changes.
Our aggregate liability related to the Agency Program is limited to the total commissions actually paid to you in the twelve (12) months preceding the claim, except where liability cannot be limited under mandatory law.
12. Changes to These Agency Terms
We may update these Agency Terms at any time. Material changes will be posted on this page with an updated effective date and, where appropriate, communicated via email or dashboard notice. Continued use of agency features after changes take effect constitutes acceptance.
